1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Veridian Data Systems LLC ("Veridian," "we," "us," or "our"), a Wyoming limited liability company. By accessing or using our website, services, or synthetic data products (collectively, the "Services"), you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use our Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Services
Veridian provides synthetic data generation services for the insurance industry. Our Services include:
- Generation of synthetic insurance datasets (claims, policies, rate filings, etc.)
- Data quality validation and statistical analysis
- API access for programmatic data generation
- Consulting and pilot program services
- Educational resources and documentation
3. Account Registration
To access certain features of our Services, you may need to create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your login credentials confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.
4. Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Use the Services for any illegal or unauthorized purpose
- Attempt to reverse engineer, decompile, or disassemble our software
- Interfere with or disrupt the Services or servers
- Attempt to gain unauthorized access to any part of the Services

- Use synthetic data in ways that could deceive or defraud others
- Represent synthetic data as real data in regulatory filings or legal proceedings
- Violate any applicable laws or regulations
5. Synthetic Data Usage
Our synthetic data products are designed for specific use cases. By using our synthetic data, you acknowledge and agree that:
- Not Real Data: Synthetic data is artificially generated and does not represent real individuals, entities, or transactions
- Intended Uses: Synthetic data is intended for testing, training, development, and analysis purposes
- No Guarantees: While we strive for statistical accuracy, synthetic data may not perfectly replicate all real-world patterns
- Your Responsibility: You are responsible for validating that synthetic data is appropriate for your specific use case
- Regulatory Compliance: You are responsible for ensuring your use of synthetic data complies with applicable regulations
6. Intellectual Property
6.1 Our Intellectual Property
The Services, including all content, features, and functionality, are owned by Veridian and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
6.2 Your License to Use
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use the Services and any synthetic data generated for your internal business purposes.
6.3 Feedback
If you provide us with feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation to you.
7. Payment Terms
For paid Services:
- Fees are as quoted or as set forth in your service agreement
- Payment is due according to the terms specified in your invoice or agreement
- All fees are non-refundable unless otherwise specified
- We may change our fees upon reasonable notice
- You are responsible for all applicable taxes
8. Confidentiality
Each party agrees to maintain the confidentiality of any confidential information disclosed by the other party. Confidential information does not include information that is publicly available, independently developed, or rightfully received from third parties.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or secure. We do not warrant that synthetic data will be suitable for any particular purpose or that it will produce any specific results.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIDIAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO VERIDIAN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Veridian and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another.
12. Term and Termination
These Terms remain in effect until terminated. We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. Upon termination:
- Your right to use the Services will immediately cease
- You must cease all use of any synthetic data generated
- Provisions that by their nature should survive will survive termination
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with the arbitration taking place in Wyoming or remotely as agreed by the parties.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
15. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Veridian regarding the Services
- Severability: If any provision is found unenforceable, the remaining provisions will continue in effect
- Waiver: Our failure to enforce any right or provision does not constitute a waiver
- Assignment: You may not assign these Terms without our prior written consent
- Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control
